Other director types — Independent Director, Managing Director / Whole-time Director, Nominee Director, or appointments in public/listed companies — follow different statutory requirements and are not covered by this set.
The required documents in filing sequence are: (1) Form DIR-2 (consent to act as director), (2) Form DIR-8 (intimation of non-disqualification), (3) Board Meeting Notice and Agenda with at least 7 days notice, (4) Certified True Copy of Board Resolution under Section 161(1), (5) Form DIR-12 filed with ROC within 30 days, (6) Letter of Appointment, (7) Form MBP-1 (disclosure of interest) submitted at the first board meeting attended, (8) General Meeting Notice with Section 102 explanatory statement, (9) Ordinary Resolution passed by shareholders, (10) Second Form DIR-12 for regularisation within 30 days, and (11) updated Register of Directors under Section 170.
No. Under MCA Exemption Notification G.S.R. 464(E) dated 5 June 2015, private companies are exempt from Section 117(3)(g) regarding board resolutions passed under Section 179(3). Therefore, a private company does not need to file Form MGT-14 for the board resolution appointing an Additional Director or for the subsequent ordinary resolution regularising them.
Form DIR-12 must be filed with the MCA within 30 days of the board meeting (for initial appointment) and within 30 days of the general meeting (for regularisation). The normal filing fee ranges from ₹200 to ₹600 depending on the company's authorised share capital. If filed late, additional fees apply at multiples of 2× (up to 30 days delay), 4× (31-60 days), 6× (61-90 days), 10× (91-180 days), and 12× (beyond 180 days). The ₹100/day penalty does not apply to DIR-12.
Under Section 161(1) of the Companies Act, 2013, an Additional Director holds office only up to the date of the next Annual General Meeting or the last date on which the AGM should have been held, whichever is earlier. If the shareholders do not pass an ordinary resolution regularising the appointment at or before that meeting, the Additional Director automatically vacates office immediately.
